Holding a Shipment

Kayden will hold your completed order (when requested) for the follow reasons*:

  1)   Lacking Detailed Destination Address - In certain circumstances, you know the Products that you require and you want to order them to ensure your delivery schedule is met, however you are not certain of the exact destination address for the Products.
 
  2)   Lacking Detailed Shipping Instructions - You know the Products you require and you want to order them to ensure your delivery schedule is met, however you are not certain of the exact shipping method to be used.
 
  3)   Customer to Visit Kayden Factory to Visually Inspect and Approve Merchandise - Kayden and Customer or Customers’ Agent will agree on a date on which the Factory Visit and Merchandise Inspection will occur. The date of the Final Inspection must be agreed to prior to any commencement of manufacturing or assembly.

*These are Customer requested holds, not holds due to overdue accounts.

Terms of Holding Shipments

Kayden is required to bill the full order value for all ‘Hold Shipments’ under the following circumstances:

  1) Twenty-one (21) calendar days expire while Product is on hold awaiting shipping or destination instructions - In the event the Customer has not provided Kayden with sufficient instructions to allow for immediate shipping by the end of the twenty-first day, Kayden will, on or after the twenty-second day of the completed order being held, at its sole discretion, invoice the Customer for the full order value of the pending shipment.
 
2)   Final Inspection was not performed by the Customer as agreed to - In the event the Customer or Customer’s Agent fails to inspect the Products within the time specified on the original order, and twenty-one (21) calendar days expire before the inspection occurs, Kayden will, on or after the twenty-second day of the completed and uninspected order being held, at its sole discretion, invoice the Customer for the full order value of the pending shipment.
 
3)   Final Inspection has been performed and shipping or destination details are incomplete - In the event the Customer has not provided Kayden with sufficient instructions to allow for immediate shipping by the end of the twenty-first day from the date the Final Inspection was successfully completed, Kayden will, on or after the twenty-second day of the completed order being held, at its sole discretion, invoice the Customer for the full order value of the pending shipment.
 
4)   Full Payment Due - Full payment will be due within Kayden’s standard credit terms or the terms agreed to in writing by Kayden.
 
5)   Product that has been held for the Customer by Kayden for longer than twenty-one days AND Kayden’s standard credit terms (30 days) (fifty-one (51) days in total) will not be shipped until the invoice has been paid in full - Once the invoice is paid in full, Kayden will ship the Product, as and when requested by the Customer. For Standard Products, the 60-Day 100% Satisfaction Guarantee will commence the day the Products are shipped from Kayden’s facility.
