Definition of Terms

The term "images" is used to refer to all media including, but not limited to, photos, graphics, logos, diagrams, drawings, screen shots, packaging, downloadable documents, videos, animations, and other multimedia content.

The term "Resellers" is used to refer to OEMS, VARs, Distributors and other third party companies that re-sell or re-distribute Kayden products or services.

Ownership of Material

Kayden owns and retains the copyright to all images displayed on the Kayden website, unless stated otherwise.

Kayden also displays on its website (with permission) images from its resellers, customers and partners. These materials remain the copyright of the original owner and any request to reproduce these materials must be forwarded to the owner.

Use of Kayden® Corporate name

	1.		Kayden is a registered trademark of Kayden Instruments. Kayden must always appear with the registered trademark symbol ® in the upper right corner following the name.
	2.		Kayden may only be used to refer to Kayden Instruments and Kayden products or services.
	3.		Use of Kayden corporate logos must conform to all of the guidelines listed under Use of Kayden Images.

Use of Kayden® Corporate Tag Line

Helping the World Switchtm is trademarked and may only be used by Kayden Instruments. You may not use, imitate, alter or play off of this corporate tag line in any way.

Use of Kayden® Trademarks

The following trademarks tm and registered trademarks ® apply to Kayden products or services:

	Kayden®
	CLASSICtm
	BASIC+tm
	CMP®

	1.		Any time these words are used in reference to Kayden or Kayden products or services, in any combination, they must be displayed with the appropriate trademark symbol.
	Examples: Kayden® Thermal Product Group Kayden® Instruments Kayden® CLASSICtm Series Kayden® BASIC+tm level switch
	2.		You may not include or incorporate, in whole or in part, any Kayden trademark into any other company name or the name of any other product or service.
	Examples: Company ABC CLASSICtm level switch
	3.		You may not use Kayden trademarks in the possessive or plural form.
	Examples: Kayden® 's Thermal Product Group
	4.		You may not abbreviate or alter Kayden trademarks in any way.

Use of Kayden® Images

	1.		Only images listed in the Image Library may be reproduced without written permission. Use of these images must conform to the guidelines outlined in this document.
	2.		To use images found on the Kayden website, but not listed in the Image Library, or to use images in ways not covered by these guidelines, you must obtain written approval from Kayden Instruments. Contact website@kayden.com for more information.
	3.		Kayden images may only be used to refer to Kayden Instruments or Kayden products or services and may not be used for any other purpose.
	4.		Kayden images may not be used as part of another company's corporate, product or service name(s) or logo(s).
	5.		Kayden images must appear as prominently and in the same proportion as other images displayed around them.
	6.		Kayden images must appear with some white space around them and not directly beside other images or text.
	7.		Kayden images may not be used to infer or imply that Kayden endorses, sponsors or is affiliated with any third party goods, services, print publications, or web sites.
	8.		Kayden images may not be used in a manner that criticizes or denigrates Kayden or its products or services.
	9.		Kayden images must be used in the medium for which they were intended. Web images have been optimized for web viewing, whereas print images have been optimized for print based publications.
	10.		Kayden images must be used as provided and may not be altered in any way including, but not limited to:
Changing colors, fonts, backgrounds, or effects Adding, removing or changing words, trademarks or artwork Translating words or symbols into other languages Distorting proportions or perspective Animating or morphing Incorporating into, overlapping or combining with other images Changing the horizontal or vertical orientation Using sizes or dimensions other than those provided by Kayden in the Image Library

Linking to Kayden.com

	1.		You may use any Kayden logo listed in the Image Library. You must use the link address (URL) listed for that logo.
	2.		If you want to link to Kayden without the use of a logo, the link must appear in a simple font and format.
	3.		Creating a link to Kayden on your website in no way implies that Kayden will list your web site in a reciprocal manner. Please contact website@kayden.com for more information about reciprocal link opportunities.
	4.		Kayden reserves the right to change the link addresses (URLs) that third parties may use to link to Kayden.com, at any time without notice.

Additional Requirements for Resellers

	1.		Resellers must leave all copyright, trademark, and patent notices on products and documentation from Kayden.
	2.		Resellers must market Kayden products under the Kayden name and designate Kayden trademarks with the appropriate trademark tm and registered trademark ® symbols.
	3.		Resellers may not market a product under a name that is confusingly similar to a Kayden product name or trademark.
	4.		If requested, resellers must supply Kayden with samples of finished product and marketing materials prior to shipping, for review.
	5.		Kayden will respond to any trademark infringement actions that arise from a Reseller's use of the Kayden product names and trademarks. The Reseller must advise Kayden promptly of any claims it becomes aware of.

Kayden reserves the right to request that third parties modify or remove their use of Kayden logos, trademarks or images if they do not conform to these Acceptable Use Guidelines.
